Wonkyu Han is selected for his in-depth knowledge of private funds law. His expertise covers a range of matters from the issuance of convertible bonds to joint business management.

Wonkyu Han started his career as an attorney at Lee & Ko in 1987. Mr Han assisted his clients on a wide array of general corporate matters, most notably joint ventures, fair trade matters, licensing and technical assistance, before earning an LLM degree at New York University School of Law in 1992 and an MBA degree at Columbia Business School in 1995. Since 1997, he has served as the head of the firm’s capital markets group and has been credited with transforming it into Korea’s leading team in this practice area. He has been recognised by his clients as an attorney with a superior ability to pinpoint their needs (especially in the areas of equity capital, debt capital, financial derivatives and private equity) and to address these needs with effective solutions. In the area of mergers and acquisitions, he has received much acclaim for successfully completing deals to the full satisfaction of his clients. Mr Han has assisted his corporate clients in the startup of new businesses, advising on legal matters in many areas of business – ranging from general management to financing. In addition, he has provided exceptional legal advisory service to sponsor-investors and financial investors involved in the areas of joint business promotion and management.

Since 2007, Chambers Global has recommended Mr Han as a top-tier lawyer in Korea for corporate/M&A and banking and finance – a double recognition that remains unmatched in this section of the guide.

Mr Han has served as legal adviser in a number of landmark cases, including the first private investment SOC business (the New Airport Hiway Co); the establishment of the very first Korean venture fund, comprised of foreign investors, and of the first overseas private equity fund in which Korean government agencies participated; the first issuance of synthetic exchangeable bonds in Korea, and of hybrid tier-one bonds by a Korean financial institution; the first listing of a foreign corporation on the Korea Composite Stock Price Index: Market Division of the Korea Exchange; the first issuance of Korea depositary receipts by a foreign corporation; and the very first sale of call-spread stock in Korea. He is also recognised for taking a leading role in assisting domestic companies in compliance with new standards in relation to the overseas issuance of convertible bonds and bonds with warrants.

Mr Han has also represented Citibank in its acquisition of Koram Bank, providing legal advice at every stage of the entire operation. He has also represented Shinhan Finance Group in its acquisition of Good Morning Securities Co Ltd (currently, Shinhan Investment Corp), and Hana Bank in its acquisition of Seoul Bank. He has also represented KB Asset Management on one of its fund’s joint investment in GS Power with GS Energy.

Currently, Mr Han advises private equity funds and other various clients on broad aspects of financing and general corporate law, assisting their investments in high-tech companies, infrastructure and natural resources.
