Who's Who Legal Franchise

Jordi Ruiz de Villa, partner of the franchise and distribution department of Fieldfisher JAUSAS Law Firm, began his professional career in 1988. He has acquired an extensive experience in the drafting and negotiating of franchises, master franchise and area development agreements. He is an expert in all kinds of commercial transactions, including competition law and antitrust, as well as mergers and acquisitions of franchise networks. He also specialises in litigation and arbitration. He has represented several local and international franchise networks in some of the claims that have created High Court jurisprudence in Spain.

Amongst his clients are many well-known Spanish and international franchises, such as McDonald’s, Dunkin Brands, Lizarran (Comess Group), Pans&Company (Eat Out Group), Gambrinus (Beer&Food), Caprabo, New Kids, and Nostrum.

Jordi has appeared in Who’s Who Legal: Franchise and Who’s Who Legal: Litigation. Moreover, he is also recognised as a leading practitioner in franchise law by Chambers and Partners and Best Lawyers.

He is a member of Eurofranchise Lawyers (www.eurofranchiselawyers.com) and arbitrator of the WIPO and the European Arbitration Association. Therefore, he has extensive franchising contacts, both at local and international levels.

Jordi is the legal advisor and president of the committee of legal experts of the Spanish Franchise Association (AEF), which he founded in 1993.

Along with McDonald's and Comess Group, he co-authored the chapters “The master Franchise agreement” and “How to set up a company in the retail sector in Spain” for the book Distribución Comercial, published by Thomson Reuters, Aranzadi, in January 2018.  

Furthermore, Jordi has also co-authored the First Franchise Case Law Observatory in Spain, published by the Spanish Franchise Association (AEF) in December 2017, and is the author of “Consequences in the franchise agreement of the breach of the disclosure information. A disruptive view.” published by Tirant lo Blanc in November 2017, among others.

Who's Who Legal Litigation: Lawyers

Jordi Ruiz de Villa has been partner of the litigation department of Fieldfisher JAUSAS Law Firm since 2007.

Over the past 30 years, he has developed an extensive experience in several areas such as franchising and distribution litigation, unfair competition and business litigation. He has represented several local and international franchise networks such as McDonald’s in some of the claims that have created High Court jurisprudence in Spain.

Over the past 10 years, pursuant to the worldwide finantial crisis, he has developed a specific area in banking litigation in which he obtained some of the first judgements in Spain against banks in cases of preferred shares and derivatives. He also obtained (in 2016) the first Supreme Court judgement against banks in Spain related to structured contracts sold to qualified investors.

Currently, Jordi Ruiz de Villa represents local and international investors (mainly professional and institutional investors) in claims against banks for any sort of complex finantial products (derivatives, structured contracts, shares, etc).

Jordi Ruiz de Villa is recognised by Chambers and Partners and Best Lawyers as one of the reference specialists for dispute resolution in Spain.

Jordi Ruiz de Villa is author of the First Review of the case law on financial derivatives at renewable energy companies in Spain, published in June 2018. Additionally, he is the author of the Annual Review of the case law on complex financial products in Spain.

Jordi Ruiz de Villa has been legal advisor of the Spanish Franchisors Association (AEF) since 1993 and has been chair of its legal experts committee since 2004. He is an arbitrator of WIPO.
