Who's Who Legal Central America - Corporate

Minerva Bellorin R is a lawyer and notary public duly authorised by the Supreme Court of Justice of Nicaragua since 1996, with more than 20 years of experience. She was a co-founding partner of ACZALAW, a firm with presence throughout Central America since 2001. Ms Bellorin has great experience in the areas of corporate and commerce, taxes, intellectual property, free zones, telecommunications and real estate, with emphasis on advising foreign investors in mergers and acquisitions, due diligence process, tax and labour structures, joint ventures, franchises, and distribution agreements.

She has provided legal advice in tax field and tax planning to corporations dedicated to different economic sectors or related to different business activities, such as real estate development and hotel business. This included all stages of the projects, related to legal corporative structure to purchase and sale of properties, registry research and due diligences, acquisitions, public contracts, tenders, and transfer of assets and shares, among others.

Ms Bellorin has been constantly interacting with the different structures of public administration related to the negotiation of agreements with the regulatory entities, and compliance with regulatory and legal aspects for obtaining licences, registrations, permits and concessions, including government procurement.

Ms Bellorin has been ranked as a leading lawyer in Latin American and Chambers Global guides for several years. In Chambers Global (2013), she was profiled as a “fantastic lawyer who is always available and shows great judgment when making decisions”.

In 2013, Ms Bellorin joined Pacheco Coto legal firm as a founding partner and chairman of the board of directors in Nicaragua. As of January 2018, she has rejoined ACZALAW as a partner and chairman of the board of directors in Nicaragua.      

She holds a master’s degree in corporate law with specialty in juridical consultancy of companies from Central American University (UCA) (1997); an executive MBA in legal business from Georgetown University – INCAE (1999); a specialisation in business taxation from the American University (2013); and a law degree from the UCA school of law (1995). She also attended the management of law firms of latin america programme from the IE Law School in Spain, Miami and Florida (2017).

Ms Bellorin is an active participant in update courses and programmes of areas of interest required by her field of work, offering legal corporate consultancy, such as the commercial law programme, Judicial School of Barcelona, Spain (2011); an update programme of the Chamber of Commerce, Nicaragua, in different areas: new act and regulations, for the defence of rights and interests of consumers, custom law, administrative complaints, and appeal interposition before the general direction of custom services and the taxation administrative court; an update programme regarding tax law; and another regarding the new act for public registries and legal registry protection.

She is a member of the New York State Bar Association, Latin American council; a member of the International Bar Association (IBA); and a representative for WIP (women in the profession programme), Nicaragua chapter (2016–2017).

She speaks English and Spanish.
