Elaine Johnston is the head of Allen & Overy LLP’s US antitrust practice and co-head of the global antitrust practice. She has a broad antitrust practice covering mergers and acquisitions, antitrust litigation, and antitrust counselling. She has handled matters in a wide range of industries, including banking and financial services, pharmaceuticals and healthcare, engineering, oil and gas, chemicals, food products, tobacco and vitamins. She has been featured in Chambers USA, BTI Client Service All-Stars, PLC Which Lawyer?, Euromoney’s Guide to the World’s Leading Competition and Antitrust Lawyers, and Global Competition Review: Women in Antitrust 2016.

Elaine practises before the US Department of Justice and the Federal Trade Commission representing merging parties in connection with mergers, acquisitions, and joint ventures, as well as companies in non-merger investigations, and she is particularly experienced in coordinating antitrust clearances on complex cross-border deals. Elaine has also handled antitrust litigation, representing the Belarusian Potash Company, Experian, and Saudi Aramco. In addition, she regularly advises companies on business conduct, including worldwide distribution and licensing arrangements, patent pools, information exchanges and benchmarking.

Elaine’s recent experience includes advising global healthcare company BTG plc on its US$4.2 billion pending acquisition by Boston Scientific; Fresenius Kabi on its agreement to acquire Akorn Inc for US$4.3 billion (abandoned for non-antitrust reasons); Worldpay on its US$10 billion merger with Vantiv Inc; Computer Sciences Corporation on its US$11 billion deal with Hewlett Packard Enterprise Company's enterprise services segment, that resulted in the formation of DXC Technology Company; Tullett Prebon on its US$1.68 billion acquisition of the global voice and hybrid broking business of ICAP; Experian plc on its US$360 million acquisition of CSIdentity Corp; Thomson Reuters on the sale of its intellectual property and science business to Onex and Baring for US$3.55 billion; Deutsche Börse on its US$1.1 billion sale of International Securities Exchange Holdings Inc to Nasdaq; Imperial Tobacco on its US$7.1 billion acquisition of the Winston, Maverick, Kool and Salem cigarette brands and the blu e-cigarette brand and related businesses from Reynolds American, following that company’s US$27.5 billion merger with Lorillard; Cargill in connection with its US$440 million acquisition of the North American and European chocolate business of ADM; and GlobalFoundries on its US$1.5 billion deal to acquire IBM’s microelectronics business.

Elaine is a member of the American Bar Association (antitrust section) and the New York State Bar Association (finance officer, antitrust law section). She served on the editorial board of the ABA’s Competition Laws Outside the United States, and is a former associate editor of the Antitrust Law Journal and a former member of the antitrust and trade regulation committee of the New York City Bar Association. She is a frequent speaker at antitrust conferences and seminars.

Elaine received her LLM from the University of Michigan law school, where she was a Fulbright scholar, and her BA (Hons) and MA from Clare College, Cambridge University, UK.
