Who's Who Legal Corporate: Merger & Acquisition

With some 30 years’ experience of legal practice, Emir Nurmansyah specialises in M&A, FDI, project finance, banking and finance, and restructuring and insolvency.

Recognised as “Indonesia Deal Maker of the Year” at the Asian Legal Business (ALB) 2018 Indonesia Law Awards, he is ranked as a “Leading Lawyer” by Legal 500 Asia Pacific for banking and finance, and project finance; and by IFLR 1000 as a “Market Leader” for capital markets, restructuring and insolvency, banking, project finance, and M&A. He is also recognsed by Chambers Asia Pacific for banking & finance, corporate/M&A and Projects & Energy.

Emir joined ABNR in 1989 and was made partner on 1 January 1997. He is a 1989 graduate of the University of Indonesia, where he majored in economic law. In 1993, he was awarded an LLM by Bond University in Australia, majoring in international transactions.

Among his recent significant mandates in the M&A arena, Emir acted for: Uber on all Indonesian aspects of the merger of Uber’s South East Asia operations with those of Singapore-based ride hailing company Grab Inc (this was the largest deal ever of its kind in the region); Global Infrastructure Partners (GIP) for all Indonesian aspects of its $5 billion acquisition of Equis Energy (this transaction marked the largest renewable energy deal ever); General Electric in relation to the sale of its Indonesian Industrial Solutions assets as part of a $2.6 billion global sale of its Industrial Solutions business to ABB Group; and Rexel Développement SAS for all Indonesian aspects of the sale of its South East Asian operations to American Industrial Acquisition Corporation Group (AIAC).

Among Emir’s recent significant mandates in the project finance arena, he has acted for: the finance parties (including the Japan Bank for International Cooperation (JBIC), the Export–Import Bank of Korea (K-EXIM), K-EXIM covered lenders, Nippon Export and Investment Insurance (NEXI), and NEXI covered lenders) in their US$1.74 billion financing for the 1,000 MW (gross) ultra-super critical coal fired power generating plant being developed in Cirebon, Indonesia (Cirebon expansion project); PT Indo Raya Tenaga (IPP) and PT Barito Wahana Lestari (shareholder of PT Indo Raya Tenaga) in the negotiation of a power purchase agreement with state power company PLN, and in the procurement of an EPC contractor for the US$3 billion Java 9 and 10 power project; the JBIC, the Asian Development Bank (ADB), NEXI, and NEXI covered lenders for their US$540 million financing for the  86 MW Rantau Dedap geothermal power plant; a syndicate of Indian bank for their US$400 million financing for the procurement of a floating production storage and offloading unit; and a syndicate of international banks for their US$250 million financing for the procurement of a power-ship.
