Isabel Bertoletti is a leading name in the Brazilian corporate tax space with has particularly strong expertise in direct tax matters.
Since the founding Machado Associados, Isabel has served as a consultant specialised in taxation matters, with an emphasis on direct taxation in Brazil and Latin America. She also plays an important role in advising on matters regarding mergers and acquisitions, investments abroad, and corporate restructuring, both nationally and internationally.
She worked at the tax department of Coopers & Lybrand (now PricewaterhouseCoopers) from 1984 to 1990, and as part of her professional training worked as auditor for two years. Ms Bertoletti was also a professor of fiscal accounting.
Her expertise comprises tax consultancy; domestic and international tax planning; structuring of mergers, acquisitions and joint ventures; corporate reorganisations; inbound and outbound investments; and cross-border transactions. Ms Bertoletti has provided advice mostly in relation to the manufacturing, services and infrastructure industries (on matters including energy projects, toll roads, water and sanitation projects, harbours, and airports).
In addition, Ms Bertoletti has broad experience in international taxation, having spent almost 25 years assisting Brazilian companies expanding their businesses abroad, as well as large multinational companies investing in other countries through their Brazilian subsidiaries.
For the past 10 years, Ms Bertoletti has acted as an arbitrator at the Mediation and Arbitration Chamber of the Industries Federation of the State of São Paulo (CIESP/FIESP), particularly in complex disputes arising from M&A negotiations and related to the interpretation of provisions involving accounting and tax matters, as well as the effects in the ascertainment of the agreed price and post-closing adjustments.
