Franco Aristotle G Larcina is a partner at SyCip Salazar Hernandez & Gatmaitan. His main areas of practice are M&A, competition law, TMT and data privacy.
Mr Larcina has extensive experience in M&A transactions, specialising in industries with nationality restrictions and involving public corporations. Some of his work highlights include advising GIC in its various investments in the Philippines, all in highly regulated businesses and with the target or a key affiliate being a public company.
Mr Larcina has extensive experience in competition law. In merger control, his work highlights include advising Sanofi in its Philippine merger filing for its acquisition of the consumer healthcare business of Boehringer Ingelheim (resulting in the first merger clearance to be issued by the Philippine Competition Commission after a full review), advising Alipay of the Ant Financial Group in its merger filing for its investment in the fintech enterprise of Globe Telecoms (where the PCC conducted its first Phase II review, and was subsequently unconditionally approved), and advising Japan Tobacco in its merger filing for its acquisition of the assets of Mighty Corporation (this was one of the largest local M&A transactions in 2017).
Mr Larcina also regularly advises clients from diverse industries on various competition law issues, including, but not limited to the competitive impact of vertical restraints and agreement such as resale price maintenance, territorial exclusivity and non-compete. He has also helped clients design and implement antitrust audit and compliance programmes.
