Biography

Mr Fernando Todd is the principal and managing partner of the firm, with more than 17 years of experience. His practice focuses on foreign investment in Mexico, and includes corporate law, M&A, securities law, mining law, foreign investment, international operations, associations, banking and international investments, and corporate litigation.

He is also a major player in the Mexican mining sector, working on acquisitions and dispositions of mines and mining companies; the inception and incorporation of new mining companies; and day-to-day operations. He has assisted in major acquisitions of mines and mining projects, advising on due diligence; structuring and negotiation; and closing and take-over. He has extensive experience in joint ventures, royalties, financing and corporate reorganisations of mining groups and earn-in agreements. Mr Todd has experience advising on the negotiation and structuring on collateral and security in favour of lenders within several industries. He led on the first listing of a Canadian company on the Mexican Stock Exchange.

Mr Todd was educated at the Ibero-American University in Mexico, and he has a master's degree in corporate law (LLM, summa cum laude) from the Panamerican University, with additional studies abroad (including the management programme for lawyers at Yale School of Management). He has made contributions to the Rocky Mountain Mineral Law Institute, the National Association of Corporate Counsels, the American Bar Association and the law committee of the Mexican Mining Chamber.

Todd's partners have proven experience advising Mexican and international clients in a variety of legal services, including the implementation and planning of a new business or venture; advice in day-to-day operations; compliance; resolving internal or external conflicts; and business expansion.
