Biography

Cecilio Castillero’s practice focuses on banking and finance, mergers and acquisitions and joint ventures. He has extensive experience representing leading financial institutions with a deep understanding of the market’s practices and standards, and clients’ internal policies. His broad expertise includes setting up a variety of financing structures (including syndicated and bilateral, secured and unsecured, and domestic and cross-border financings) and, on the basis of his profound knowledge of the internal structure of transaction documentation, fine-tuning the model credit agreement used by a prestigious international law firm in New York and the model legal opinion used by an outstanding law firm in Panama. Mr Castillero also has exceptional deal management and organisational skills, and extensive experience in coordinating multi-jurisdictional matters involving numerous parties and legal counsels.

Representative transactions include the extension by the Panamanian government of the maturity date of US$220 million in CPPs relating to road reorganisation projects, the US$80 million syndicated loan led by Banco Latinoamericano de Exportaciones (Bladex) for Banco Aliado, the US$71 million project financing for Phase I of the first windmill generation farm in Panama, the simultaneous acquisition and project financing for Phase II of the first windmill generation farm in Panama, the financing of the construction of Line 2 of the Panamanian metropolitan railroad, the US$13 million Darby Overseas’ minority investment in a Uruguayan pharmaceutical company, the project financing of Melones Oil Terminal by Global Bank, the acquisition of Grupo Industrias Lácteas by The Coca-Cola Company (USA) and Coca-Cola FEMSA (Mexico), the acquisition of Centro Médico Paitilla by the Spanish group Hospiten, the acquisition of Mi Bus by the Panamanian government, and the preparation and negotiation of trust agreements for the divestiture by their OFAC-listed owners of Félix B Maduro and the Soho Mall.

Mr Castillero has been ranked as a Band 2 lawyer for banking and finance and Band 4 for projects in Panama by top legal directory Chambers Global; approved in the Latin American Corporate Counsel Association (LACCA) handbook as a banking private practitioner (2012–2018); recommended as a leading financial and corporate lawyer in Panama in IFLR1000 (2012–2019); and highlighted as a leading attorney in Panama in the fields of banking (2012–2015) and project financing (2014–2019) by Who’s Who Legal.

Prior to founding SIGMA International and Global Market Attorneys, Mr Castillero was an associate at Milbank, Tweed, Hadley & McCloy LLP in New York for almost 10 years and a senior counsel at Arias, Fábrega & Fábrega in Panama for more than five years.
