Andreas is head of Bär & Karrer’s internal investigations practice and a leading partner in the litigation/arbitration practice. He has extensive experience in complex banking/financing, commercial, corporate, contract and insurance litigations before Swiss courts and in cross-border proceedings. He has conducted several major internal investigations in the financial, pharmaceutical and construction sectors, and has represented many Swiss clients in mass tort litigation cases before US courts. He regularly advises Swiss corporate clients on compliance and in investigations, including proceedings before US authorities, especially in matters under the US FCPA.

You began your career representing banks in litigation. What motivated your shift to a regulatory proceedings and investigations practice?

Over the past 30 years, the banks and their businesses have fundamentally changed – both in terms of service offerings and expansion to global enterprises. In the early years, in addition to the usual disputes between banks and some of their clients, we were very often involved in bank guarantee disputes and matters involving letters of credit, or legal assistance proceedings. Nowadays, trade finance is no longer a cornerstone of most of the banks in Switzerland, and banks generally no longer have the procedural standing in order to defend their clients’ interests in legal assistance proceedings. Over time, the regulatory framework governing the financial markets has changed dramatically, both domestically and cross-border. Our practice developed pari passu, and the focus of our activities in this market today is much more on regulatory issues and proceedings than on disputes between banks and individuals. Nowadays, banks are much more exposed to money laundering, economic sanctions and general white-collar crime risks, and this of course has affected our practice as well. Hence, the shift was a response to a completely changed market landscape.

To what extent has the internationalisation of banking introduced more complex cross-border regulatory issues?

Internationalisation had a considerable impact. Over the past 10 years, there has been a dramatic shift as foreign governments and their agencies have taken a much stronger position to protect their domestic interests, both economically, and as regards compliance with local law and policies. Concepts such as the Swiss banking secret are no longer accepted as such, but are critically challenged whenever such concepts are seen as a means to pursue perceived unlawful activities. Equally, certain countries nowadays vigorously pursue their political interests through enforcing trade sanctions, most of which directly or indirectly affect the financial industry. In parallel, the cooperation between regulatory supervisory authorities and law enforcement agencies globally has intensified and improved substantially.

In what ways has the increased emphasis upon corporate responsibility within investigations changed the needs of clients?

There has been a considerable and indeed positive shift in the attention of corporate bodies towards compliance and the processes for which they are responsible. With the experience of recent cases in the field, it is now widely accepted that one cannot pursue a sustainable business in the long term without properly set-up compliance structures, including adequate processes and ethical principles being lived and enforced. For a number of years, we have regularly assisted and advised corporate clients in critically assessing their existing compliance framework, and taking the appropriate steps to improve and remedy it.

How has your role as board chairman for a bank influenced your work in private practice?

The experience of being a board chairman leads to a more holistic approach when assessing and resolving issues. Also, it helps to better assess the role and duties of those who are ultimately responsible for the proper set-up of an adequate, tailor-made organisation with state-of-the-art processes to secure sustainable business operations.

What challenges did you face in developing Bär & Karrer’s investigations practice group?

We were among the first firms to engage in the internal investigation’s practice back in 2005. At that time, it was still difficult to predict whether this development was only temporary, or would be something long-term. Therefore, and as corporate investigations required sufficient manpower to perform the required works, developing the practice at that time was seen as rather risky. Time then taught us differently. Also, at the beginning, there was little, if any, appreciation among corporate clients of why investigating a matter was not really an option, but a must. Compliance-related efforts rarely had a “business case” – at least, until the first few cases where corporates were hit by severe instances of internal wrongdoing became widely known. Today, of course, that is entirely different.

To what degree is the distinction between an in-house and private practice career disappearing?

One distinction continues, in the sense that in-house counsels are part of a business organisation, and therefore are primarily focused on exercising their function in the overall best interests of that organisation. The distinction, however, has disappeared to a significant extent, as a result of many legal practitioners who practised law as outside counsels joining in-house legal functions, and vice versa. In today’s world, in-house counsels and outside counsel are much closer, as they share experiences from both sides, and therefore operate as teams. This has been an extremely helpful development, and has led to a significant improvement of the relationship between in-house and outside counsels.

How do you anticipate the Swiss legal market changing in the next five years? How might this affect your practice?

Certainly one very important development in my practice area which has recently begun, and which will fundamentally impact the investigations practice in the future, is the development of IT tools – foremost among them mass volume data treatment and AI tools. We are still at an early stage when it comes to the acceptance of such tools by authorities when investigating matters, and cooperating with them. However, it is only a matter of time until these tools will be widely accepted – and, indeed, become a must when it comes to efficiently handling these cases.
