Girgis Abd El-Shahid is a managing partner at Shahid Law Firm in Cairo, which has grown to become one of the leading international law firms operating in Egypt and the region since its inception in 1987. He specialises in dispute settlement, with a particular focus on energy-related disputes; mergers and acquisitions; corporate and commercial agreements; joint venture arrangements; banking and finance; securities offerings; telecommunications; and intellectual property.

Girgis is recognized by The Legal 500 as “extremely personable, [having] vast knowledge of Egyptian law”, “extremely responsive and having a unique international outlook” with advice that is “always spot on”, “smart, articulate, knowledgeable and business-oriented”, and “simply excellent, very bright and entrepreneurial”. After receiving an LLB and a BA in economics and business administration from Cairo University and the American University in Cairo respectively, he travelled to the USA to receive an LLM in international legal studies from Georgetown University law centre. He returned to Egypt in 2005 to become a public prosecutor before resigning in 2007 to become a full-time legal practitioner.

Girgis has since provided legal services to numerous national and multinational companies operating in Egypt and the Middle East Region. He focuses mainly on commercial arbitration, investment treaty arbitration and international law and is noted for his special expertise in complex multiparty arbitrations. He is recognised for his knowledge in handling all types of corporate and commercial disputes, from routine matters to large and complex multinational arbitrations.

Girgis has represented clients in high-profile local and regional disputes as well as multi-million value claims, across a multitude of industries and key sectors. Highlights of these transactions are: acting for a major Korean heavy industries company in all disputes associated with the FIDIC contract entered into with the international consortium responsible for the building and operation of an Egyptian port; acting as co-counsel for East Mediterranean Gas and a number of its shareholders in major international oil and gas disputes against the Arab Republic of Egypt and various state entities; represented two major regional media companies in a multi-million-dollar multi-party dispute involving litigation and arbitration under UAE law concerning breaches of a number of licensing and broadcasting agreements and acting for Waterworks, a global environmental engineering company specialising in water treatment, against an Egyptian oil company in multi-million pound dispute.

Girgis also advises clients in various other industries and represented clients in flagship M&A transactions totalling hundreds of millions of dollars. Some of these deals include advising Ferro Corporation in two mandates, in a deal valued at approximately US$39 million in cash. He also acted as a local counsel for GSK in its multi-billion dollar asset trading deal with Novartis, reshaping the pharmaceutical industry globally and, acted as local counsel for Mitsubishi Heavy Industries, in connection with its joint venture with Siemens in the metals technologies business and many more.

Girgis is a member of the American Chamber of Commerce, the British and Swiss Business Associations and, the Egypt-US Business Council.

Girgis specialises in energy matters, with a particular focus on energy-related disputes; mergers and acquisitions; power purchase and transfer agreements; joint venture arrangements; and related financing and bankability.

Some of the work Girgis has rendered to clients includes assisting conventional and renewable energy companies in negotiations with potential and existing business partners and ministries in Egypt, as well as managing disputes between developers and Egyptian governmental entities.

Girgis has assisted international developers in the establishment of over thirty renewable energy companies since March 2015, in connection with the feed-in tariff (FiT) programme, BOO and other schemes.

His expertise further includes drafting and reviewing agreements, including power purchase, land usufruct cost, sharing and network connection agreements; liaising and negotiating with the various renewable energy authorities; providing sector-specific corporate and employment law advice; financing; M&A transactions and restructuring; real estate and regulatory advice; and handling administrative proceedings.

Girgis’ work highlights in energy arbitrations includes co-counselling East Mediterranean Gas (EMG), and its shareholders in four complex arbitrations against the Arab Republic of Egypt and Egyptian state entities before the International Centre for the Settlement of Investment Disputes (ICSID), the International Chamber of Commerce (ICC), the Cairo Regional Centre for International Commercial Arbitration (CRCICA), and an investment treaty claim before Permanent Court of Arbitration (PCA) in disputes involving the termination of gas supply from Egypt to Israel and breaches of investment treaties.

Girgis has provided significant input on all matters relating to Egyptian law, notably the structuring of entities involved in the supply of gas to Israel and the role of the Egyptian government in controlling the actions of such entities; principles of contractual interpretation and rules applicable to force majeure and unforeseen events; penalties for breaching contractual obligations under Egyptian law; and detailed input on Egyptian corruption legislation and jurisprudence.
