Walter Carlson has served as lead counsel in securities litigation, shareholder derivative suits, M&A litigation, and defence of SEC enforcement matters for more than 20 years. He has handled major matters in state and federal courts across the country. He is a co-leader of the firm-wide securities and shareholder litigation practice area team and has served as a member of the firm’s executive committee since 2002.
Walter regularly represents public companies and/or their directors and officers in significant securities, shareholder derivative and M&A litigation matters. Among his recent successes are the following representative engagements: representation of Johnson & Johnson in successful defence of numerous shareholder derivative suits filed in federal and state court; representation of Caterpillar Inc in successful defence of various federal court securities and shareholder derivative suit litigation; representation of Beam Inc in successful defence of state court shareholder litigation challenging Beam’s acquisition by Suntory Holdings Limited; representation of CNO Financial Group in successful defence of federal securities litigation and state court shareholder derivative litigation; and representation of Centene Corporation in successful defence of various federal court securities litigation.
Walter is the non-executive chairman of the board of directors of Telephone & Data Systems Inc and a member of the board of directors of United States Cellular Corporation. He has previously served as chairman of the Audit Committee for both of these companies.
Walter received his BA (magna cum laude, Phi Beta Kappa) from Yale University and JD (magna cum laude) from Harvard Law School.
