Who's Who Legal Nigeria - Capital Markets

Gbolahan Elias is the presiding partner of the firm. He advised on the development of a standard form power purchase agreement for the Nigerian Bulk Electricity Trading Plc. He also advised on the US$1.5 billion NNPC pre-export financing. He advised some electricity power distribution companies on the Central Bank of Nigeria’s Nigerian Electricity Supply Industry Power Intervention Fund. He led the team that advised the purchaser on the recent privatisation of Nigerian Telecommunications Limited (NITEL) by the sale of assets (worth US$252 million) through guided liquidation. He advised Aureos Capital on its investment in Orwell, an oil field service company, and later on the merger of Orwell International and AOS to create the largest Nigerian-owned oil field service company. Gbolahan Elias is a visiting professor of law at Babcock University, Nigeria, and a Senior Advocate of Nigeria.

Gbolahan Elias is a partner in the firm. His recent work includes advising on leading M&A deals in the banking, insurance, electric power, oil-and-gas, food, real estate and telecommunications sectors. Among those deals are those where Kellogg Company acquired a 50 per cent stake in a food and distribution company controlled by Tolaram Africa (approximately US$450 mm), the privatisation sale of NITEL (the old state owned telephony monopoly: approximately US$252 mm) and the sale of Enterprise Bank (the first “bridge” bank ever to be sold: approximately US$350 mm).

He is called to the Nigerian and New York bars. Gbolahan Elias is a partner in the firm. He practises in both trial and appellate courts and before administrative and arbitral tribunals. His most important and complex recent work has been in four areas: arbitration (enforcing an arbitral award in the sum of US$447mm for a shipping company), product liability (advising a leading manufacturer in the most extensive series of product liability cases, over 20 cases in all); capital markets (representing one of the nation’s oldest banks and several of its directors in a series of proceedings filed by the securities regulator alleging multiple violations of corporate and securities laws and representing an investment bank against a commercial bank on issues involving insolvency law and alleged illegal “financial assistance” in buying shares); and mergers and acquisitions (the privatisation agency in an attempt by labour unions to stop the privatisation of the government-controlled telephone monopoly, and a prospective purchaser of shares in a “bridge bank” to stop the sale of a controlling interest in it to another purchaser). He was also part of the MTN Nigeria team challenging the US$3.8 billion fine levied by the Nigerian Communications Commission, the largest regulatory fine in Nigerian history.
