Ashwath Rau is a partner and a deputy practice head of Amarchand’s general corporate practice, in addition to leading its asset management team. He joined the firm in 1999 after graduating from the National Law School of India University, Bangalore.
The focus of Ashwath’s practice is to provide turnkey assistance to GPs in structuring and forming investment funds seeking to invest in the Indian subcontinent: he provides holistic advice taking into account and balancing commercial, legal, regulatory and tax considerations of the region. In addition to fundraising mandates, Ashwath also advises on the placement of fund products, secondary transactions, co-invest arrangements, managed accounts, restructuring of funds and carried interest and other employee incentive schemes.
Notable transactions include the formation of various funds and structuring of advisory programmes by IDFC (including their infrastructure funds), Kotak, JP Morgan, Macquarie, the State Bank of India, Edelweiss and the ICCI Bank group. Ashwath assisted with the formation of Dolma Impact Fund (Nepal’s first exclusive fund), Kaizen Private Equity (India’s first education focused fund) and Pragati India Fund (an impact fund for India’s poorer states). On the LP side, Ashwath has advised IFC, CDC Group plc, DFID and Flag Squadron on their India fund investments.
Ashwath regularly interacts with policy-makers in India and provides inputs in relation to the formulation of regulation and policy. He is consistently rated by legal publications (Chambers, Legal 500, Leading Lawyer) as among the leading M&A, private equity and funds practitioners in India. Most recently, his practice was ranked among the top 20 law firms globally for infrastructure fund formation by Preqin.
