Elaine Johnston has a broad antitrust practice covering antitrust litigation, mergers and acquisitions and antitrust counselling. She has handled matters in a wide range of industries, including banking and financial services, tobacco, pharmaceuticals and healthcare, engineering, energy, oil and gas, other natural resources, chemicals, insurance, telecommunications, defence electronics, cable, advertising, paper, leisure and retail sales, agricultural products, shipping and vitamins.

Elaine has an active practice before the US Department of Justice and the Federal Trade Commission representing merging parties in connection with mergers, acquisitions and joint ventures, as well as companies in non-merger investigations, and she is particularly experienced in coordinating US, European, and other foreign antitrust clearances on complex cross-border deals. Elaine also has an active antitrust litigation practice including representing the Belarusian Potash Company, Experian, Mercuria, Saudi Aramco and United Airlines in pending or recent cases. In addition, she advises companies on business conduct, including worldwide distribution and licensing arrangements, patent pools, information exchanges and benchmarking.

Her recent experience includes advising Tullett Prebon on its US$1.68 billion acquisition of the global voice and hybrid broking business of ICAP; Imperial Tobacco on its US$7.1 billion acquisition of the Winston, Maverick, Kool and Salem cigarette brands, and the blu e-cigarette brand and related businesses from Reynolds American, following that company’s US$27.5 billion merger with Lorillard; Cargill in connection with its US$440 million acquisition of the North American and European chocolate business of ADM; GlobalFoundries on its US$1.5 billion deal to acquire IBM’s microelectronics business; CoreLogic on its US$661 million acquisition of Marshall & Swift/Boeckh and DataQuick Information Systems; Novartis on the sale of its Diagnostics Unit to Grifols, a Spanish multinational pharmaceutical and chemical company, for US$1.7 billion; Thomson Reuters on the US$390 million sale of its corporate services business to NASDAQ OMX; Mubadala Development Company on its joint acquisition of EMI Group's music publishing businesses (as part of the Sony consortium) for a combined US$2.2 billion; Computershare Limited on its US$550 million acquisition of the Shareowner Services Business of The Bank of New York Mellon; and Nortel Networks on antitrust issues relating to the sale of its patent portfolio at auction for US$4.5 billion.

Elaine is a member of the American Bar Association (antitrust section) and the New York State Bar Association (executive committee, antitrust law section). She served on the editorial board of the ABA’s Competition Laws Outside the United States, and is a former associate editor of the Antitrust Law Journal and a former member of the antitrust and trade regulation committee of the New York City Bar Association. She is a frequent speaker at conferences and seminars. Elaine received her LLM from the University of Michigan Law School, where she was a Fulbright Scholar, and her BA (Hons) and MA from Clare College, Cambridge University, UK.
