Frances specialises in acting for corporate clients and investment banks on corporate finance and M&A transactions, both in England and overseas. She also advises corporate clients generally on day-to-day corporate governance and corporate matters. She has wide experience of mergers and takeovers, private acquisitions and disposals, joint ventures, restructurings, demergers and equity and debt financing structures. Frances also has significant experience of the demutualisation of building societies. She headed the firm's corporate practice from 2008 to April 2014.
Highlights include advising Burberry on its demerger from GUS PLC; General Electric on the acquisition of Smiths Group Aerospace and a proposed detection joint venture with Smiths Group; Alliance Boots on the £11 billion bid for it by funds associated with KKR and Stefano Pessina; Banco Santander on its bid for Alliance & Leicester PLC; Santander UK on the proposed acquisition of parts of the banking business of the Royal Bank of Scotland Group; and Manchester Airport Group on the acquisition of Stansted Airport.
Frances is listed as a leading individual in the M&A section of The Legal 500 2013 and in the corporate/M&A: high-end capability sections of Chambers UK 2014, Chambers Europe 2013 and Chambers Global 2013. She is also included in Square Mile magazine's feature 'The 100 Most Powerful People in the City'; Who's Who Legal: Mergers & Acquisitions 2014 (as one of the world's top 10 most highly regarded M&A practitioners); Who's Who Legal: Banking 2012; and Who's Who Legal: Corporate Governance (2011, 2012 and 2013 editions). Frances won the 'Best in Mergers and Acquisitions' award at the 2012 IFLR Europe Women in Business Law Awards, and has also been ranked in the top quartile of The Chambers 100 UK (2013), a publication identifying the 100 best business lawyers in the country. She was named in the top four most innovative individual lawyers at the FT's inaugural Innovative Lawyers Awards (2006).
Frances is the consulting editor of the London Stock Exchange Corporate Governance Guide 2012.
Frances is a vice chair of the international M&A and joint venture committee of the American Bar Association's section of international law, and a trustee of the National Foundation for Educational Research.
She was chair of Network for Knowledge, a forum for female lawyers and compliance professionals, from 2011 to 2013.
