Frances specialises in acting for corporate clients and investment banks on corporate finance and M&A transactions, both in England and overseas. She also advises corporate clients generally on day-to-day corporate governance and corporate matters. She headed the firm's corporate practice from 2008 to 2014.
Highlights include advising Burberry on its demerger from GUS PLC; General Electric on the acquisition of Smiths Group Aerospace and a proposed detection joint venture with Smiths Group; Alliance Boots on the £11 billion bid for it by funds associated with KKR and Stefano Pessina; Santander UK on the proposed acquisition of parts of the banking business of the Royal Bank of Scotland Group; Manchester Airport Group on the acquisition of Stansted Airport; and General Electric on the proposed acquisition of Alstom’s thermal, renewables and grid businesses.
Frances is listed as a leading individual in the M&A section of The Legal 500 2013 and in the corporate/M&A: high-end capability sections of Chambers UK 2014, Chambers Europe 2014 and Chambers Global 2014. She is also included in Square Mile magazine's feature "The 100 Most Powerful People in the City"; Who's Who Legal: Mergers & Acquisitions 2014 (as one of the world's top 10 most highly regarded M&A practitioners), Who’s Who Legal: Banking 2012, and Who’s Who Legal: Corporate Governance (2011, 2012, 2013 and 2014). She ranked in the top quartile of The Chambers 100 UK (2013) and was named in the top four most innovative individual lawyers at the FT's inaugural Innovative Lawyers Awards (2006).
Frances is the consulting editor of the LSE Corporate Governance Guide 2012.
Frances is a vice chair of the international M&A/JV committee of the American Bar Association's section of international law, and a trustee of NFER and Great Ormond Street Hospital Children’s Charity.
She is a member of the University of Sheffield Law School advisory board.
She was chair of Network for Knowledge, a forum for female lawyers and compliance professionals.
