Mr Shroff's practice in banking and finance is broad based, with extensive experience in acquisitions and takeovers, corporate, project and structured financing. He is regularly called upon by foreign and domestic corporations and financial institutions to advise them on complex corporate and finance matters and transactions. He is also an expert on legal matters related to special and mutual funds, general banking, security creation, private equity and special situations, bankruptcy and special recovery procedures. In his career, Mr Shroff has been involved in many complex and high-profile transactions.
Besides doing all forms of bank borrowing and lending transactions for clients like IDFC, IFCI, ICICI, IDBI, RaboBank, Standard Chartered Bank, and Barclays Bank, Mr Shroff has extensively advised on matters relating to bank loan recovery actions, debt reconstruction proceedings before the Board for Industrial and Financial Reconstruction (BIFR), and asset reconstruction and securitisation under the SARFAESI Act. He has advised International Finance Corporation (W), ADB and other multi-lateral lenders before the BIFR in special situations in the leading cases of Bihar Sponge and Modi Rubber cases.
He is a director on the board of several publicly listed companies, namely, the Infrastructure Development Finance Company Limited, Apollo Tyres Limited, Hindustan Media Ventures Limited, Jubilant Life Sciences Limited, Jindal Steel Power Limited, Visa Power Limited, and Ashok Leyland Limited. He is presently a member of the CII national council, the CII economic policy council, the CII manufacturing council, the CII national committee on IT, ITES, and e-commerce, the CII national council on corporate governance and regulatory affairs, the CII committee on integrity and transparency in governance, and the CII national committee on dispute resolution. Mr Shroff serves on a number of committees of the Confederation of Indian Industries (CII) and the Federation of Indian Chambers of Commerce and Industry (FICCI). He is a member of the CII National Council on Corporate Governance and Regulatory Affairs 2011-12, the CII Task Force on Integrity and Transparency in Governance, the CII National Committee on Dispute Resolution - Centre for Mediation and Conciliation, and FICCI's Damodaram Committee, Naresh Chandra Committee (2003) and the JJ Irani Committee (2006) that deliberated on the principles of corporate governance with reference to the Companies Bill, 2008.
Mr Shroff has been involved in many complex and prominent transactions; most recent being the Vedanta Resources restructuring and merger. He advised the board on restructuring and simplification of the company's business structure by merging its largest subsidiaries, Sesa Goa and Sterlite India, into a single unit called Sesa Sterlite.

During his career Mr Shroff has been involved in many complex and high profile transactions. He has also led the firm in intricate cross-border transactions involving multiple jurisdictions around the world. Some of the key deals he has advised on recently include the US$14 billion restructuring of Vedanta Resources, including the merger of its largest subsidiaries, Sterlite Industries and Sesa Goa into a single unit, 'Sesa Sterlite'. During the year he also advised PVR Limited, now the largest Cinema chain in India, in drafting and negotiating the underlying transaction documents, open offer documents and other open offer related agreements in its US$73.5 million acquisition of CineMAX, and separately, in negotiating and finalising the share subscription agreements with each of its two private equity investors - Multiples and L Capital.
As a leading practitioner, he has served as an adviser on high-profile government committees and legislative panels. He has participated in drafting important economic legislations and company law reforms in India. Some of the committees on which he has served include the Justice VU Eradi committee for reforms in corporate insolvency; he chaired two committees constituted by the Department of Corporate Affairs, ie, the committee for asset valuation and principles of disposal of corporate properties, assets and shares, and the committee for review of offences and penalties under the company law. He also advised on the second Naresh Chandra committee appointed to look into small and medium enterprises and simplification of company law (LLPs and joint ventures). He was also a member of the JJ Irani committee for amending the companies act 2006, and two SEBI appointed Bhagwati committees (1996 to 1997 and 2000) for redrafting and making modifications to the SEBI takeover code.
