Thomas A Cole is a partner in Sidley’s Chicago office. He became a partner of the firm in 1981. For 15 years, until April 2013, he served as chair of the firm’s executive committee, which exercises general authority over the firm’s affairs. In April 2014, he stepped down as a member of the executive committee after 27 years, and as a member of the firm's management committee after 26 years.
Mr Cole focuses his practice on public company mergers and acquisitions and corporate governance. Mr Cole has been involved in approximately 65 announced public company mergers, spin-offs and takeover defences, mostly involving values over $1 billion. Corporate governance assignments have included advising public company boards and their standing and special committees on a variety of subjects, including shareholder activism and proxy contests. For five years until 1998 he taught the corporate governance seminar at the University of Chicago Law School, a role he resumed in 2013. He taught the same seminor at Harvard Law School in spring 2015. In 2010 and 2013, he was named to “The Directorship 100”, the NACD’s list of the most influential people in the boardroom community. In 2015, he was named to the inaugural class of fellows of the American College of Governance Counsel and named a “Mergers & Acquisitions and Antitrust Trailblazer” in The National Law Journal.
Mr Cole is currently a member of the board of trustees of the University of Chicago. He served as chairman of the boards of Northwestern Memorial Healthcare and Hospital.
