The firm’s banking and finance practice group is one of the largest dedicated to this area of law. It involves a range of services, including corporate; commercial and syndicated lending; project finance; structured finance; capital markets; securitisation; equity offerings; equity funds; insurance; leasing; real estate finance; workouts; insolvencies and restructurings; and regulatory and transactional matters.

The mergers and acquisitions practice group represents Mexican and foreign clients in all aspects of M&A, including joint ventures, strategic alliances, stock and asset purchases, takeovers, shareholders’ disputes, corporate governance, regulatory matters, antitrust and foreign investment. The group has taken a number of companies private, having unique expertise in mergers and spin-offs of financial institutions.

The firm’s real estate work includes advice to parties in all types of transactions, including financing and securitisation; development of commercial, industrial and residential facilities; structuring of domestic and international funds, both private and publicly traded, including CKDs; acquisitions, sales and sale leasebacks; and private and public offerings of securities representing a real estate interest, including FIBRAs.

The insurance and reinsurance practice group has been advising and representing leading insurance and reinsurance companies around the world in Mexican and Latin American matters. The firm is a leader on the functional aspects of insurance operations, as well as on regulatory and transactional matters, and is experienced in dealing with administrative authorities.

The firm’s securitisation and structured finance work has covered securitisations of existing assets and future flows, relating to a diversified base of underlying assets, including credit cards; toll roads; governmental fees; mortgage loans; car loans; retail; consumer; export; maritime freight and airfare receivables; infrastructure; and rental streams.

The capital markets group is formed by specialists who regularly advise issuers, investors, broker dealers, credit enhancers and underwriters in international and domestic public and private offerings, including IPOs, as well as on disclosure, and insider trading issues and enforcement matters.

The workouts and insolvency practice group has advised secured and unsecured lenders in over $20 billion of restructurings and workouts. The firm has been involved in every aspect including strategic alliances, structuring, asset divestitures, leveraged buyouts, debt repurchases and refinancing.

The firm’s infrastructure and energy work has included the implementation of public-private partnerships (PPPs), Pemex-related transactions, project finance, toll road financings and construction, airport transactions, hospitals and other infrastructure industries.

NHG frequently handles complex corporate, finance and regulatory telecom transactional matters in the broadcasting, mobile carrier and satellite industries, among others.

NHG’s tax group advises public and private companies in connection with taxation matters involving mergers and acquisitions and capital markets transactions, equity funds and multiple cross-border transactions.

Our antitrust practice group consists of a highly experienced team offering a wide range of services, from general antitrust consulting to merger control proceedings, investigations into monopolistic practices and proceedings, antitrust compliance consulting, advice on bidding and market conditions, and government entity advising.
