THE FIRM

Madrona was founded in 2015 by seven highly experienced attorneys, all recommended by several national and international publications. Within 18 months two more partners joined the firm, which now has now nine partners and 64 associates. Apart from its focus on its corporate practice, the firm also has great expertise in capital markets, banking and finance, infrastructure and tax laws. Our motivation is to understand our environment and invest in people, so that our clients reach their goals under guidance driven by ethics and responsibility.

MAIN AREAS OF PRACTICE

Corporate and M&A: Advice on general corporate and M&A transactions including complex local and cross-border deals, listings on the Brazilian stock exchanges, joint ventures, restructuring, leveraged buyouts involving public or private entities and privatisations.

Banking and finance: We advise banks and other financial institutions, issuers and governments on local and cross-border finance transactions across all sectors, including leveraged finance, bilateral and syndicated loans, regulatory and financial structuring, real estate finance, high-yield, trade finance, debt restructuring and asset finance.

Capital markets: We handle debt, equity, equity-linked, regulatory capital, alternative capital finance, high-yield, tender and exchange offers, representation of government-controlled companies, brokerage matters, derivatives and structured financings.

Infrastructure, regulatory and public law: Advice contracts between private entities and government authorities, legal issues related to business activities in regulated environments, structuring of infrastructure projects, acting in the modelling of public service concessions, public-private partnerships (PPPs), permits, licences, authorisations and other structures.

Tax law: Our team has extensive expertise across all tax aspects of corporate transactional, finance, capital markets, international tax planning, mergers, acquisitions, structuring of national and cross-border investments, litigation, real estate, investment fund organisation, joint ventures, restructurings.

Real estate: Expertise in all aspects of real estate practice, including M&A, real estate investments, capital markets (issuance of mortgage-backed securities and shares in real estate funds), development and lease, built-to-suit, sale and leasebacks, joint ventures, financing and tax, construction, planning and zoning advice and disputes.

Litigation and arbitration: Experienced in commercial contracts, private and treaty arbitrations and civil litigation representing local and international clients in complex disputes, we also analyse potential liabilities involving several areas of law in order to protect our clients from potential liabilities.

Restructuring and bankruptcy: Experience in debt restructuring and rescheduling, debt in possession (DIP) finance, equity capital raising, distressed sale of assets and M&A activity, formal insolvency procedures and contingency planning and insolvency litigation.
