TozziniFreire Advogados

TozziniFreire Advogados ranks fifth by number of listings in this edition. A large national firm of more than 75 partners, it covers a wide variety of business law practices to a high standard of quality, with an emphasis on both mid-to-high end transactional work and day-to-day compliance advice. The firm provides a comprehensive full-service offering with a degree of specialisation not possible at smaller full-service law firms. In total, the firm is recognised in 19 out of the 38 practice area chapters that are covered in the following pages.

In particular, the firm’s standout practice group is the competition team, headed by Marcelo Calliari. Its business crime and investigation practice is also more prominent than that of many of its competitors; meanwhile, TozziniFreire’s disputes, banking and finance, and forestry investment practices also stand out for special mention.

Under Marcelo Calliari the competition team has maintained its elite status. He is supported by two further nominees: Daniel Oliveira Andreoli and Marcio de Carvalho Silveira Bueno. Between them, they have led on a number of significant contentious and transactional mandates. The former is a particular strength of the firm and recent work includes representing UBS in the Forex investigation – the first financial sector cartel investigation in the country.  On the merger control side, the group cleared Holcim’s takeover of cement rival Lafarge through CADE last year. One commentator echoed market sentiment by describing Calliari and his team as “widely respected and a serious force in the market”.

The firm’s business crime and investigation remains ahead of the curve in this rapidly growing field, gaining two listings in our research. White-collar practice head Juliana Sá de Miranda and investigations “guru” Shin Jae Kim are two of the country’s leading lights, with a prominent standing in anti-corruption and fraud work. TozziniFreire’s prominence has led several companies embroiled in Operation Car Wash to instruct it on conducting internal investigations. Clients say its partners are “fast acting”, “responsive” and “unquestionably the stand out names”.

The banking and finance team is well respected. Key partner Antonio Felix de Araujo Cintra is noted for his expertise in advising multinational banks on their operations in the country, including on regulatory matters and compliance. Project finance head Pedro Seraphim is predominantly recognised for his work in energy infrastructure finance, representing clients such as AES Tietê, Energias Renováveis do Brasil and Norte Energia. Meanwhile the mining team group under the stewardship of the “excellent” Luiz Fernando Visconti acts on high-value deals in this space, including advising Cabral on its US$2.2 billion iron ore investment in Bahia; he was also prominent in advising Holcim on the divestment of some of its mining assets.

The firm top ranks in our new forestry investment chapter. Nominees Paulo Augusto Furtado Mendonça and Vladimir Miranda Abreu are the two leading names in our research, highlighted for their excellent negotiation skills and strategic nous; the team advises noteworthy clients, such as Strategic Timber and Forest Investment Associates, on structuring transactions, purchase and sale agreements, and due diligence matters.

Fernando Eduardo Serec is the top name in the firm’s arbitration and litigation practices. He gains an impressive caseload of international and domestic commercial disputes, as well as investment treaty arbitrations. He is known as “a seriously tough advocate with experience and technical skills to rival the very best”.
