Brothers and co-managing partners Cyril Shroff and Shardul S Shroff, based in Mumbai and New Delhi respectively, remain the key drivers of the firm’s success, achieving international recognition in seven practice areas apiece.
Shardul Shroff led the Amarchand team in representing Vedanta Resources in its restructuring and merger of Sterlite and Sesa Goa, the firm’s single largest engagement of 2012, worth $14 billion. He also acted for PVR when its subsidiary, Cine Hospitality, acquired the entire promoter stake in Cinemax India in a deal worth $99 million, as well as assisting PVR in negotiating and finalising share subscription agreements with two private equity investors, each acquiring approximately a 15.8 per cent stake in PVR. Such recent prominent matters complement the “lengthy precedent of excellence” Shardul Shroff has set in M&A, banking and corporate governance work. Project development and natural resources are also strong suits, and he ranks highly in our project finance, public procurement and oil and gas research, as well as appearing in the transactional section of our life sciences rankings.
While also noted for his corporate, transactional and banking work (having advised Reliance Industries on the $1.9 billion buyback of equity shares in 2012) Cyril Shroff is marked out in particular by respondents for his expertise in natural resources, as well as projects and public procurement matters. Fellow family member Pallavi Shroff leads the firm’s competition practice and recently led the competition law analysis for Nestlé in its acquisition of Pfizer (worth $11.85 billion) involving numerous antitrust filings in jurisdictions around the world. A further four Amarchand lawyers appear in our competition section, making it the firm’s strongest practice area overall. Pallavi Shroff is also Amarchand’s sole representative in the litigation and arbitration sections of our research; notably, she was the first Indian member of the Singapore International Arbitration Centre and was part of the committee that produced the latest version of the centre’s rules. She has also acted for Coca-Cola and Suzuki Motors in recent arbitration matters.
Prashant Gupta has acted on various international capital markets transactions by India-focused companies, including the recent IPO and listing on the NASDAQ Global Market by MakeMyTrip. Also recognised for his work in this area is Yash Ashar, who advised Standard Chartered in the first ever instance of Indian depository receipts on the Bombay Stock Exchange and National Stock Exchange of India. Representing the firm in the private funds section, Ashwath Rau recently advised Bain Capital on the Indian aspects of its acquisition of a 30 per cent stake in Genpact from General Atlantic and Oak Hill Capital Partners, worth approximately $1 billion.
