Weil Gotshal & Manges’ global banking and finance practice has been an area of focus over the past few years, with further hires announced in the last half of 2013 and beginning of 2014. Additional partners in the European leveraged finance and high-yield practice have boosted Weil’s offering in this field worldwide.

2013 was a busy year for the firm with significant deals announced in the corporate, business finance and restructuring and litigation departments. Highlights include the successful completion of the merger between AMR Corporation and US Airways Group to form American Airlines Group Inc, for which Weil advised parent company AMR. Successful trial wins were also gained for big-name clients such as ESPN, Marvel and eBay. These successes affirm Weil’s position at the forefront of the legal industry and practitioners continue to be recognised for their market-leading work in a number of different practice areas.

PEOPLE AND PRACTICES
The M&A team advise and represent clients in the most visible and complex M&A transactions. Lawyers have experience covering friendly and hostile takeovers, joint ventures, tender offers and public-to-private transactions. In the Silicon Valley office, Richard Climan focuses on negotiating and advising clients on all types of acquisition transactions and governance matters. He is “especially well known” for his work in the technology and life sciences sectors. The “talented” Keith Flaum specialises in the acquisitions of publicly traded companies and cross-border acquisition transactions. Michael Francies is another “big name” in the field and has clients including private equity funds and alternative providers of capital.
In the corporate governance sphere, the highly respected SEC practice focuses on disclosure, restatements and internal control issues, Sarbanes-Oxley implementation and corporate compliance. Norman Veasey is an “excellent” practitioner and advises on governance issues involving the responsibilities of corporate directors in complex financial transactions and crisis management. Catherine Dixon is a member of the firm’s public company advisory group. Her practice encompasses a range of SEC disclosure and compliance matters, for which she is highly recommended.
Weil’s business finance and restructuring practice has remained at the forefront of the field with a number of high-profile cases. The team has represented clients such as the Lehman Brothers, with a case that constituted the largest bankruptcy in history. In New York, Marcia Goldstein chairs the department and has served as lead restructuring lawyer in a number of major international and US cases. Stephen Karotkin is recommended as a “great strategist” in business reorganisations and debt restructurings. His experience includes representing General Motors in its historic chapter 11 case. Creator of the department Harvey Miller is a “star” lawyer. He has a “wealth of experience” in the field, with particular focus on reorganising distressed business entities.
The private funds team specialise in the formation of private investment funds of all sizes and also advise on different investment strategies. Founder of the private funds department Jeffrey Tabak regularly represents private investment funds and their sponsors with the organisation and acquisition and disposition of their investments. He is a “top-tier” lawyer according to our sources. Jonathon Soler co-heads the group and deals with matters such as representing investors in connection with their investments in private equity funds. David Kreisler’s “outstanding” practice specialises in private equity matters, and in particular fund formation.
Kimberly Blanchard is “highly respected” for her work in the corporate tax field. She advises clients in connection with joint ventures, fund formation and partnerships and is recognised as a “leader” in the field.
Weil has set a goal of 50 hours of pro bono work per lawyer per year attesting to its commitment to the practice of pro bono. This past year has seen a number of significant wins: in April, a pro bono team successfully challenged the constitutionality of an amendment to North Dakota’s Abortion Control Act that restricted reproductive rights. Another team saw the end of its five-year case concerning a Gambian couple living with HIV/AIDS who were successfully granted asylum to remain in the US in November.
As the first New York City-based firm to institute a firm-wide diversity training programme and formal diversity policy, Weil has endeavoured to remain a leader in the diversity stakes. The firm hired a dedicated director of global diversity in 2000, and education and training have remained important features of the agenda. Understanding the importance of nurturing diverse talent, the firm also participates in the Sponsors for Educational Opportunity internship programme and the New York City Bar’s Minority Fellowship Programme.
Weil’s continued expansion of its key practice areas looks set to continue and the start of 2014 saw the announcement of new hires in the Polish energy and natural resources practice. Weil is expected to continue developing its network of expertise while remaining steadfast in its commitment to its “one-firm approach” to ensure lawyers offer unified international legal services.
